Bankruptcy looms for GM; Chrysler awaits fate

DETROIT – General Motors Corp. has cleared a couple of key roadblocks on the ailing automaker’s route to an almost certain bankruptcy filing Monday.

Early Saturday in Berlin, Germany’s finance minister said a plan was approved for Canadian auto parts maker Magna International Inc. to move ahead with a rescue of GM’s Opel unit.

That news came after the United Auto Workers union on Friday ratified a package of concessions designed to reduce GM’s labor costs.

The developments appeared to put in place two more pieces of the automaker’s massive restructuring effort as its board of directors meets Saturday for a second day to decide what GM will do when its government restructuring deadline arrives Monday.

GM has yet to confirm it will seek Chapter 11 bankruptcy protection but scheduled a news conference for Monday in New York.

Chrysler LLC, meanwhile, will likely have to wait until Monday to learn if a bankruptcy judge will rule that it can go forward with its plan to sell most of the company to a group headed by Italy’s Fiat and take a big step toward its goal of a speedy exit from Chapter 11.

U.S. Judge Arthur Gonzalez is expected to approve the sale but it’s likely that attorneys for three Indiana state pension and construction funds, which have aggressively opposed the deal, will appeal the decision and possibly force Chrysler to further postpone the deal’s closing.

Chrysler claims that any substantial delay could push Fiat to back out if the deal, since the Italian automaker has set a deadline of June 15 to wrap up a transaction.

U.S. automakers have been hammered by a brutal combination of a bad economy, a big jump in gas prices last year, and decisions to churn out gas-sucking SUVs at a time when more American consumers were looking for cars that were cheaper to fill up.

GM, with the government’s backing and nearly $20 billion in U.S. loans so far, has made more dramatic changes in just a few days than it has in decades. A deal to sell GM’s rugged but inefficient Hummer brand also appeared on the horizon.

GM’s stock tumbled to the lowest price in the company’s 100-year history on Friday, closing at just 75 cents after trading as low as 74 cents. A government plan for GM revealed Thursday would make the shares virtually worthless.

The United Auto Workers‘ reluctant but overwhelming ratification of concessions will save GM $1.3 billion per year and bring its labor costs down to those of its Japanese competitors. The new UAW deal freezes wages, ends bonuses and eliminates some noncompetitive work rules.

In Berlin, the agreement hammered out will see Adam Opel GmbH put under the care of a trustee later Saturday, shielding the German automaker from GM’s likely filing for bankruptcy protection early next week.

The German government and several state governments will provide a $2.1 billion bridge loan, part of which will be available immediately.

Siegfried Wolf, a co-CEO of Magna said he expected the agreements with GM would be signed in five weeks time, but insisted that the deal struck early Saturday would prevent Opel from being touched by whatever will happen to GM.

“A solution has been found to keep Opel running,” Germany’s Finance Minister Peer Steinbrueck told reporters after more than six hours of talks. “You can be sure that we did not take the decision lightly. All the federal and state representatives are aware there are some risks.”

After 17 years, Leno hands ‘Tonight’ over to Conan

BURBANK, Calif. – It was a homespun farewell for Jay Leno’s last show at “Tonight.” Celebrities were largely absent and the self-effacing comedian said he wanted to be remembered for the children born to his staffers during his 17-year tenure as the show’s second-longest running host.

He even posed with all 68 of them, from babies to teenagers.

“That’s what I’d like my legacy to be,” Leno said, his voice thickened by emotion. “When these kids grow up and they go, `Hey, mom and dad, where did you guys meet?’, they’re going to say they met on the stage of `The Tonight Show.'”

The show also included jabs at favorite targets, including politicians and his own network. He noted proudly that he took over the top-rated late-night show from Johnny Carson and was passing it on with the same No. 1 ranking to Conan O’Brien, who begins as host Monday.

“Which means I get my security deposit back,” quipped Leno.

Leno received a chilly reception when he beat out Carson favorite David Letterman for the “Tonight” job in 1992.

Carson, who was host for a record 30 years, taught him that no matter what happens in the world the host has to have a nightly monologue, “because that’s your job,” Leno said.

Giving O’Brien a pre-debut boost, Leno welcomed him as his final guest.

“You were the perfect choice. You’ve been an absolute gentlemen in private and in the press,” Leno told O’Brien, lauding him for his “sharp” material.

“Conan rocks,” a studio audience member shouted. “I agree, Conan rocks,” Leno replied.

A clip was shown from 1993, when the 30-year-old O’Brien, a TV newcomer, appeared on “Tonight” hours after being signed to host “Late Night.”

Leno, his hair dark then and gray now, was ushered on stage Friday with a Jimi Hendrix-flavored version of “The Star-Spangled Banner” by bandleader Kevin Eubanks.

“Welcome to the exciting season finale of `The Tonight Show,'” said Leno, greeted by a standing ovation. “I want to thank all the people who made it possible: Michael Jackson, Monica Lewinsky and Bill Clinton.”

After noting that former Presidents Clinton and George W. Bush were participating in a joint speaking engagement in Canada, Leno remarked wistfully: “I wish I had one more day.”

He didn’t refrain from mocking his network although he’s moving to NBC’s prime-time schedule this fall.

His new show represents a gamble, Leno said: “I’m betting NBC will be around in three months. That’s not a given.”

Leno also fit in a last shot at O.J. Simpson, another monologue favorite. In cleaning out his office, the comedian said, “I found O.J.’s knife. I had it the whole time.”

He did his now-customary one-liners about the sour economy, and then paid tribute to the late Rodney Dangerfield, the routine’s inspiration, with old “Tonight” clips.

Other than James Taylor, who performed “Sweet Baby James,” celebrities were absent from the final show, which favored by-the-people comedy instead.

There was a lengthy “Best of Jaywalking” segment, highlights of Leno asking people on the street questions about history and other topics. A sample: A woman correctly said the first man to land on the moon was Armstrong, but when asked his first name offered “Louie,” not Neil.

One of North America’s Largest Music Festivals to Heat up South Florida during Memorial Day Weekend

Miami, FL April 1 2009 – An all-star lineup of performers is set to hit the stage once again for the fifth annual Best of the Best International Music Festival. Presented by South Florida’s premier music and lifestyle Promotions Company, JBJ Entertainment, Best of the Best will boast today’s brightest names in Soca, Pop, Caribbean, Reggae and Hip Hop music. This widely anticipated 10-hour event will commence on Sunday, May 24th at Bicentennial Park (1075 Biscayne Blvd.) in downtown Miami.
